1. Acceptance of Terms
By accessing or using CTV AI's platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including advertisers, visitors, and anyone who accesses the platform.
2. Description of Service
CTV AI provides an AI-powered advertising platform that enables businesses to create, manage, and run campaigns on Connected TV (CTV) and OTT platforms across India. Our services include:
- AI-generated video ad creatives via our Niko assistant
- Programmatic campaign planning and delivery
- Audience targeting and optimization
- Performance analytics and reporting
3. Account Registration
To use our Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities under your account
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
4. Advertising Content
Your responsibilities
You are solely responsible for ensuring that your advertising content:
- Complies with all applicable laws and regulations
- Does not infringe on any third-party intellectual property rights
- Is truthful and not misleading
- Complies with platform-specific advertising policies (Hotstar, JioCinema, Zee5, etc.)
- Does not contain prohibited content (hate speech, adult content, counterfeit goods, etc.)
Content review
We reserve the right to review, reject, or remove any advertising content that violates these Terms or our content policies, at our sole discretion.
5. AI-Generated Creatives
When you use our AI creative generation features (OpticksAI / Niko):
- You retain ownership of the source materials you provide (logos, images, text)
- You receive a perpetual, non-exclusive license to use the generated creative for advertising purposes
- We may use anonymized patterns from generated content to improve our AI models
- Generated content is provided "as-is" — you are responsible for reviewing it before use
6. Payments and Billing
- All campaign budgets are prepaid unless otherwise agreed in writing
- Prices are displayed in Indian Rupees (INR) and are exclusive of applicable taxes
- Refunds for unused campaign budgets are processed within 7–10 business days upon request
- We reserve the right to modify pricing with 30 days advance notice
- Failure to pay may result in campaign suspension or account termination
7. Campaign Delivery
While we make reasonable efforts to deliver campaigns as planned:
- Impression delivery depends on third-party platform availability
- We do not guarantee specific impression volumes, placements, or performance outcomes
- Campaign targeting is subject to platform-level audience availability
- We may optimize delivery parameters to improve campaign performance
8. Intellectual Property
The CTV AI platform, including its software, design, branding, AI models, and documentation, is owned by CTV AI and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our platform without prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, CTV AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim shall not exceed the amounts paid by you to CTV AI in the 12 months preceding the claim.
10. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination:
- Active campaigns will be paused
- Unused prepaid budget will be refunded (minus any outstanding fees)
- Campaign data will be retained for 90 days, then deleted
- You remain liable for any amounts owed prior to termination
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
